Terms of Service
These Terms govern your access to and use of the AskBooks websites, mobile apps, and accounting software (the “Service”). By creating an account or otherwise using the Service you agree to these Terms. If you’re using the Service on behalf of an organisation, you confirm you’re authorised to bind that organisation.
1. Eligibility & accounts
You must be at least 18 years old and capable of entering into a contract under Indian law. You’re responsible for keeping your account credentials and any TOTP/MFA secrets confidential, and for all activity that happens under your account.
2. Subscriptions & billing
- Subscriptions renew automatically at the end of each term (monthly or annual). You can cancel any time from Settings → Billing; access continues until the end of the paid term.
- Fees are exclusive of GST. We issue tax invoices for every payment.
- Upgrades take effect immediately and are pro-rated. Downgrades take effect at the next renewal.
- If a payment fails, we’ll retry 3 times over 7 days and notify you. The account is suspended (read-only) on day 8 and downgraded to read-only export on day 30.
3. Free plans & trials
Khata is free for personal cash/udhaar use within stated fair-use limits. Pro/POS/Restaurant/Commerce trials run for 14 days with no credit card required. We may modify or end free plans with 30 days’ notice.
4. Acceptable use
You agree not to:
- Reverse engineer, decompile, or scrape the Service beyond rate-limited public APIs.
- Use the Service to send spam, host malware, or commit fraud or money-laundering.
- Resell access without an executed reseller agreement.
- Probe, scan, or test the security of the Service except under our Responsible Disclosure programme (see policy).
5. Your data, your IP
You own all data you upload (“Customer Content”). You grant us a worldwide, non-exclusive licence solely to host, process, and display Customer Content as required to deliver the Service. We claim no IP rights over your data and never use it to train AI models that benefit other customers.
6. Our IP
The AskBooks software, brand, and documentation are licensed to you, not sold. Source code, designs, machine-learning models and trade secrets remain our property.
7. Service levels & uptime
We target 99.9 % monthly uptime. If we fall short, customers on annual plans are eligible for service credits per the SLA exhibit available on request. Scheduled maintenance is announced at least 72 hours in advance and excluded from uptime calculations.
8. Suspension & termination
We may suspend access if your usage threatens platform stability, violates section 4, or remains unpaid past 30 days. We’ll notify you and (where lawful) provide a cure period. You may terminate at any time. On termination, you keep export access for 30 days; thereafter Customer Content is deleted per our Privacy Policy.
9. Warranties & disclaimers
We warrant that the Service will perform materially as described in our documentation. Beyond that, the Service is provided “as is”. We don’t guarantee fitness for any specific tax or legal outcome — you remain responsible for the accuracy of your filings.
10. Limitation of liability
To the maximum extent permitted by Indian law, our aggregate liability under these Terms is limited to the fees you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential losses (including lost profits or data not within our retention obligations).
11. Indemnification
Each party will indemnify the other against third-party claims arising from breach of these Terms or violations of law, subject to prompt notice and reasonable cooperation.
12. Confidentiality
Either party may receive non-public information of the other (e.g. roadmap, pricing, security architecture). Both parties will protect such information using at least the same care they use for their own confidential information, for 3 years after disclosure.
13. Changes to the Terms
We may update these Terms from time to time. Material changes will be emailed and shown in-app at least 14 days before they take effect. Continued use after that constitutes acceptance.
14. Governing law & dispute resolution
These Terms are governed by the laws of India. Any dispute will be resolved by arbitration in Bengaluru under the Arbitration and Conciliation Act 1996, by a sole arbitrator. Either party may seek interim relief from the courts of Bengaluru.
